I don't send invoices.
I take a stake.
A paid Study to see clearly, then a minority stake I only earn as results come in. Here is exactly how it works.
The Study
- Access to your accounts, general ledger, contracts and subscriptions
- Interviews with you and your key people
- Line-by-line cost review, margin by product and by customer
- A map of the tasks that eat time and earn nothing
- Deliverable: a costed plan, and a partnership proposal if the potential is there
The agreement
- Written targets: lower costs, higher EBITDA, a timeline
- Size of the stake and how it splits across milestones
- Shareholders' agreement: governance, reporting, exit
- Reviewed by your lawyer and your accountant
The transformation
- Quick wins first: renegotiations, cancellations, chasing unpaid invoices
- Rebuilt processes, pricing and sales journey
- Tools rolled out, Pulse included, wherever they pay off
- Monthly review on a dashboard: revenue, margin, EBITDA, cash
- Milestones validated on the accounts, not on promises
The smaller the company, the bigger the stake.
€300k – €1M
20 – 30%
The absolute gain is smaller, so the stake has to stay worth the effort.
€1M – €3M
15 – 20%
The sweet spot: enough costs to find savings, enough scale to move fast.
€3M – €5M
10 – 15%
Every point of margin weighs a lot, so a smaller stake is enough.
Indicative ranges. The exact stake depends on the potential the Study puts a number on. It always stays a minority.
No results, no shares.
Signing
A first part, which pays for the Study and the commitment.
Costs down
Once the savings set in the agreement show up in your accounts.
EBITDA up
Once EBITDA hits the written target, over a financial year or on a rolling basis.
The split across milestones is written into the agreement, for example one third each. If a target isn't hit within the agreed time, the matching share is simply never earned.
What I bring
- The Study and the costed plan
- Time every week on your numbers, your suppliers, your processes
- My network, and the methods I use to operate 8 companies
- Pulse and the tools I use, with no subscription to pay
- A monthly review and a shared dashboard
What you keep
- The majority of the equity
- Control of the company and the decisions
- Your team, your customers, your brand
- A say on everything I propose
- The option to buy back my shares at a formula known upfront
Planned from day one.
Stay partners
The company earns more, dividends follow. Nothing forces an exit.
Buyback by the owner
You buy back my shares at a value set by a formula agreed on day one.
Joint sale
You sell the company: I sell alongside you, on the same terms.
A holding company, an agreement, your advisers.
The stakes are held by NHD SAS, whose corporate purpose is exactly that: acquiring and managing equity stakes, and supporting the companies it partners with.
Depending on the case, the stake takes the form of ordinary or preference shares, share warrants (BSA) exercisable at each milestone, or a mix of both. The shareholders' agreement sets governance, reporting, milestones and exit.
Nothing is signed until your lawyer and your accountant have reviewed it. The tax consequences, for you as for me, are examined before the agreement.
